Please read these terms carefully before using Coachier services.
1. Acceptance of Terms
By accessing or using Coachier ("Platform," "Service," "we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Platform.
These Terms constitute a legally binding agreement between you and Coachier Platform Inc. Your use of the Platform signifies your acceptance of these Terms and our Privacy Policy.
2. Description of Service
Coachier provides a cloud-based platform for coaches, therapists, and healthcare professionals to:
- Manage client relationships and activities
- Deliver digital coaching content and assignments
- Track client progress and outcomes
- Communicate securely with clients
- Analyze coaching effectiveness
- Manage business operations
3. Account Registration and Eligibility
3.1 Eligibility
To use Coachier, you must:
- Be at least 18 years of age
- Have the legal capacity to enter into binding contracts
- Not be prohibited from using the Platform under applicable laws
- Be a licensed or certified professional (for practitioner accounts)
3.2 Account Security
You are responsible for:
- Maintaining the confidentiality of your account credentials
- All activities that occur under your account
- Notifying us immediately of any unauthorized access
- Ensuring your account information is accurate and up-to-date
3.3 Account Types
- Practitioner Accounts: For coaches, therapists, and healthcare providers
- Client Accounts: For individuals receiving coaching services
- Organization Accounts: For clinics and multi-user practices
4. Subscription Plans and Payment
4.1 Plans
We offer various subscription plans:
- Free Trial: 30-day trial with full access
- Basic Plan: $29/month - Up to 25 clients
- Professional Plan: $69/month - Up to 100 clients
- Advanced Plan: $129/month - Unlimited clients
- Custom Plan: Contact sales for pricing
4.2 Billing
- Subscriptions are billed monthly or annually in advance
- All fees are in USD unless otherwise specified
- Prices are subject to change with 30 days' notice
- No refunds for partial months or unused services
4.3 Free Trial
Your free trial includes full access to Professional plan features. No credit card required. After the trial, you can choose a paid plan or continue with our Basic free plan.
4.4 Cancellation
- You may cancel your subscription at any time
- Cancellations take effect at the end of the current billing period
- No refunds for early cancellation
- Upon cancellation, you retain access until the end of your paid period
5. User Conduct and Responsibilities
5.1 Acceptable Use
You agree to use the Platform only for lawful purposes and in accordance with these Terms. You agree NOT to:
- Violate any applicable laws or regulations
- Infringe on intellectual property rights
- Transmit harmful code, viruses, or malware
- Attempt to gain unauthorized access to the Platform
- Interfere with or disrupt the Platform's operation
- Use the Platform for spam or unsolicited marketing
- Impersonate another person or entity
- Share your account credentials with others
- Reverse engineer or decompile the Platform
5.2 Professional Responsibilities
As a practitioner, you are responsible for:
- Maintaining valid professional licenses and certifications
- Complying with professional codes of ethics
- Obtaining appropriate client consent
- Maintaining client confidentiality
- Providing competent and ethical services
- Meeting all legal and regulatory requirements
5.3 Client Data
You retain ownership of all client data you input into the Platform. You are responsible for the accuracy, quality, and legality of your data and the means by which you acquired it.
6. Intellectual Property Rights
6.1 Coachier's Rights
The Platform and its original content, features, and functionality are owned by Coachier and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.
6.2 Your Content
You retain all rights to content you create or upload to the Platform. By using the Platform, you grant us a limited license to:
- Store and display your content
- Process your content to provide services
- Create backups for data protection
6.3 Feedback
Any feedback, suggestions, or ideas you provide about the Platform may be used by us without obligation or compensation.
7. Data Privacy and Security
Your use of the Platform is also governed by our Privacy Policy. We implement industry-standard security measures including:
- 256-bit AES encryption for data at rest
- TLS 1.3 for data in transit
- Regular security audits and penetration testing
- HIPAA-compliant data handling
- SOC 2 Type II certification
- Automated daily backups
8. Disclaimers and Limitations of Liability
8.1 Service "As Is"
THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.
8.2 No Medical Advice
Coachier does not provide medical advice, diagnosis, or treatment. The Platform is a practice management tool. Users are responsible for all professional decisions and client care.
8.3 Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, COACHIER SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.
OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM.
8.4 Force Majeure
We are not liable for any failure or delay in performance due to circumstances beyond our reasonable control, including natural disasters, war, terrorism, riots, or internet/telecommunications failures.
9. Indemnification
You agree to indemnify, defend, and hold harmless Coachier and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including attorney fees) arising from:
- Your use of the Platform
- Your violation of these Terms
- Your violation of any law or rights of third parties
- Your professional services to clients
- Content you submit to the Platform
10. Termination
10.1 By You
You may terminate your account at any time through your account settings or by contacting support.
10.2 By Us
We may suspend or terminate your account if:
- You violate these Terms
- You fail to pay applicable fees
- Your use poses a security or legal risk
- Required by law or regulatory authority
10.3 Effect of Termination
- Your right to access the Platform immediately ceases
- We may delete your account and data after 90 days
- You can export your data before termination
- Certain provisions of these Terms survive termination
11. Dispute Resolution
11.1 Informal Resolution
Before filing a claim, you agree to contact us and attempt to resolve the dispute informally for at least 30 days.
11.2 Binding Arbitration
Any dispute arising from these Terms shall be resolved through binding arbitration in accordance with the American Arbitration Association's rules. Arbitration shall take place in San Francisco, California.
11.3 Class Action Waiver
You agree to resolve disputes on an individual basis and waive any right to participate in class actions or class arbitrations.
11.4 Exceptions
Either party may seek equitable relief in court for intellectual property infringement or to enforce these Terms.
12. Modifications to Terms
We reserve the right to modify these Terms at any time. We will notify you of material changes via email or through the Platform. Your continued use after changes constitutes acceptance of the modified Terms.
If you do not agree to modified Terms, you must stop using the Platform and may terminate your account.
13. General Provisions
13.1 Governing Law
These Terms are governed by the laws of the State of California, USA, without regard to conflict of law provisions.
13.2 Entire Agreement
These Terms, together with our Privacy Policy, constitute the entire agreement between you and Coachier regarding the Platform.
13.3 Severability
If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.
13.4 Waiver
Our failure to enforce any right or provision of these Terms does not constitute a waiver of that right or provision.
13.5 Assignment
You may not assign these Terms without our prior written consent. We may assign these Terms without restriction.
13.6 Third-Party Services
The Platform may integrate with third-party services. We are not responsible for the availability, accuracy, or content of third-party services.
